General Counsel - Utility Services Construction Firm (Private Equity Owned)

Location:

Austin, TX or Melbourne, FL, with hybrid flexibility for experienced candidates

Company:

GridTek Utility Services, a leading multi-state utility services construction firm, is seeking a highly skilled and experienced General Counsel to join our dynamic team. We are owned by a prominent private equity firm and committed to safety, excellence and innovation in the utility services industry. We expect to grow by increasing our activity with existing customers, adding new customers and through bolt-on acquisitions, all of which the General Counsel will be integral to.

Position Overview:

As the General Counsel, you will play a critical role in providing legal guidance and support to our organization across a wide range of areas, including contract negotiation, litigation, acquisitions, employment advice, risk and claims management, ESG and other compliance matters, and general corporate matters. The General Counsel will work directly with the company’s highly experienced executive team in a fast-paced environment, and the ideal candidate will have more than 5 years of relevant experience and a proven track record of success in similar roles. You will be tasked with providing thoughtful, appropriate, and timely legal advice grounded in a practical understanding of our business.

Responsibilities:

  • Support operating subsidiaries in contract negotiation and review processes (with customers and vendors/subcontractors), advocating for favorable terms and mitigating risks.
  • Manage and oversee litigation and claims matters, hiring, managing, and working closely with external counsel.
  • Provide legal support for acquisitions and other strategic transactions.
  • Assist HR function with labor, employment and collective bargaining matters.
  • Develop and implement compliance programs to ensure adherence to applicable laws and regulations.
  • Oversee ESG initiatives, with outside consultants
  • Oversee corporate governance matters, including board meetings, corporate filings, and regulatory compliance.
  • Collaborate with cross-functional teams to drive business objectives while balancing legal considerations.
  • Stay informed about industry trends, legislative developments, and best practices to proactively identify opportunities and risks.

Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to a state bar and in good standing.
  • More than 5 years of experience practicing law, with a focus on commercial matters.
  • Expertise in contract negotiations and commercial transactions.
  • Familiarity with managing litigation.
  • Previous M&A experience.
  • Excellent communication and interpersonal skills, with the ability to effectively interact with internal and external stakeholders.
  • Proven ability to work independently and collaboratively in a fast-paced environment.
  • Strategic thinker with a solution-oriented approach to problem-solving.
  • Experience working in the construction or utility services industry is a plus.
